Welcome to Feedback by AIUSA. These Terms of Service ("Terms") govern your access to and use of the feedback collection platform, website, and related services (collectively, the "Service") operated by AIUSA ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

1. Definitions

  • "Subscriber" or "Tenant" refers to a business or individual who registers for an account to collect feedback from their customers using our Service.
  • "End User" or "Customer" refers to individuals who submit feedback through a Subscriber's feedback collection page.
  • "User Content" refers to all content submitted through the Service, including but not limited to feedback submissions, reviews, ratings, comments, contact information, business profiles, promotional content, and any other materials uploaded or entered by Subscribers or End Users.
  • "Service" refers to the Feedback by AIUSA platform, including all features, tools, APIs, widgets, and related services.

2. Service Description

Feedback by AIUSA provides a software platform that enables Subscribers to collect, manage, and analyze customer feedback. The Service includes features such as:

  • Customizable feedback collection forms
  • Rating and review capture
  • Routing of positive feedback to external review platforms
  • Analytics and reporting dashboards
  • Embeddable widgets
  • API access (for eligible plans)
  • Link pages and promotional features

The Service is provided "as is" and we make no guarantees regarding specific outcomes, including but not limited to improvements in online ratings, customer sentiment, or business performance.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not share your account credentials with any third party. We reserve the right to suspend or terminate accounts that we reasonably believe are being accessed or used fraudulently or in violation of these Terms.

4. User Content and Responsibilities

4.1 Subscriber Content

As a Subscriber, you are solely responsible for all content you upload, publish, or display through the Service, including but not limited to your business profile, promotional materials, questions asked of customers, and any other materials. You represent and warrant that:

  • You own or have the necessary rights to use and authorize use of all content you provide
  • Your content does not violate any applicable laws or regulations
  • Your content does not infringe any third-party intellectual property, privacy, or other rights
  • Your content is not false, misleading, defamatory, or fraudulent

4.2 End User Content

End Users who submit feedback through the Service are solely responsible for the content of their submissions. By submitting content, End Users represent that their submissions are truthful, not defamatory, and do not violate any applicable laws.

4.3 No Responsibility for User Content

WE DO NOT CONTROL, ENDORSE, OR ASSUME RESPONSIBILITY FOR ANY USER CONTENT. We are not liable for any User Content, including but not limited to any errors, omissions, defamation, libel, slander, obscenity, or inaccuracy contained therein. The views expressed in User Content do not represent our views or values. We are a neutral platform provider and do not verify, screen, or edit User Content before it is posted.

5. Indemnification

You agree to defend, indemnify, and hold harmless AIUSA, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of the Service or any activities under your account
  • User Content submitted through your account or feedback forms, including but not limited to any claims of defamation, libel, slander, invasion of privacy, or infringement of intellectual property rights
  • Feedback or reviews collected through the Service, whether positive or negative
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
  • Any claim that your use of the Service caused damage to a third party
  • Your business practices, products, or services that are the subject of customer feedback
  • Any dispute between you and your customers or End Users
  • Your use, storage, or processing of customer data collected through the Service

This indemnification obligation will survive the termination of these Terms and your use of the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of the Service will be accurate, reliable, or meet your requirements or expectations
  • The Service will improve your business ratings, reputation, or customer sentiment
  • Any errors or defects in the Service will be corrected
  • User Content submitted through the Service will be accurate, truthful, or lawful

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIUSA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Damage to reputation arising from User Content or feedback
  • Business interruption or service unavailability
  • Any other intangible losses

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

8. Prohibited Uses

You agree not to use the Service to:

  • Submit or solicit fake, fraudulent, or misleading feedback or reviews
  • Harass, abuse, or harm another person or entity
  • Violate any applicable law, regulation, or third-party rights
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Scrape, harvest, or collect data from the Service without authorization
  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity
  • Manipulate or falsify ratings, reviews, or feedback in any way

9. Payment Terms

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate and complete billing information
  • Authorize us to charge your designated payment method for recurring subscription fees

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. Fees are generally non-refundable except as required by law or as expressly stated in writing by us. We reserve the right to change our pricing with reasonable notice.

10. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of AIUSA and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such content solely for the purpose of operating and providing the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and all associated data
  • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

You may cancel your account at any time by contacting us or through your account settings.

12. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

As a Subscriber who collects customer data through the Service, you are responsible for complying with all applicable data protection and privacy laws in your jurisdiction, including obtaining any necessary consents from End Users before collecting their personal information.

13. Dispute Resolution

Informal Resolution: Before initiating any formal dispute proceedings, you agree to contact us first to attempt to resolve any dispute informally. We will make good faith efforts to resolve any dispute within thirty (30) days of receiving your written notice.

Binding Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Florida for the resolution of any disputes not subject to arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and AIUSA regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
